| TERMS AND CONDITIONS
OF BUSINESS |
| The following are the Terms of Business
between Humane Community & Housing
Support Limited (thereafter referred
to as “the Agency”) and
the employer Client (“the Client”)
for the provision of temporary and permanent
staff by the Agency to the Client. |

| 1. The Client having been
supplied with these Terms of Business
is deemed to apply to the engagement
of each temporary worker (“the
Staff”) by the Client. |
 |
| 2. The Client agrees to
pay the hourly charge of the Agency
current at the time of booking, for
all hours actually worked by the Staff
calculated to the nearest quarter of
an hour but they may be varied from
time to time with immediate effect.

| 3. The Agency’s
charges are, subject as hereinafter
mentioned, invoiced weekly on the basis
of time sheets verified by the Client
or his representative following the
week worked and reserves the right to
charge interest on any invoice outstanding
for more than 14 days from the
date of issue at 4% per annum above
the Natwest Bank plc. |

| 4. The hourly rates for
a temporary assignment will be agreed
with the Client before the commencement
of the assignment. All fees are payable
to the Agency. VAT is charged on all
fees. |

| 5. The Agency is responsible
for payment of wages to each Staff and
the deduction of administration of all
National Insurance contributions and
Income Tax applicable. |
 |
| 6. If any engagement of
any Staff shall be cancelled by the
Client less than two hours before the
engagement is due to start the Client
shall pay to the Agency by way of compensation
for the Staff losses an amount equal
to the charge for four hours at the
appropriate rate plus reimbursement
of the Staff travelling expenses and
any additional administration costs
arising. |

| 7. If any Staff introduced
by the Agency is engaged by the Client
or by another employer to whom the Client
has introduced the said Staff, whether
on a Temporary or Permanent basis, these
conditions of business will apply and
the Client will be liable for an Introduction
Fee of 22.5% of annual salary for the
post, or the prevailing charges for
temporary Staff. |

| 8. The Agency will charge
the Client a fee of 15.5% for engaging
a staff from temp/contract to permanent
for an operative after working for a
minimum of six months. This applies
whether or not the vacancy was advertised
in the Local or National Press. |
 |
| 9. The Agency will endeavour to ensure
that Staff are suitable and have sufficient
skills reliability and integrity for
the work required of them, including
where practicable taking up of references.
The Client is responsible for the supervision
direction and control of Staff supplied
by the Agency for the duration of their
engagement. |

| 10. The Agency does not accept any
liability for any loss, expense, damage
or delay arising from any failure to
provide a particular Staff for all or
any part of a period of a pre-arranged
booking. |
 |
| 11. These Terms of Business together
with the Request for Cover constitute
the entire Conditions of Contract between
the Agency and the Client to the exclusion
of any others. |
